These Terms of Service ("Terms") govern your access to and use of the website skynius.com and any associated services (collectively, the "Service") operated by Skynius ("Skynius," "we," "us," or "our"). By accessing or utilizing any part of the Service, you signify your unequivocal acceptance of, and agreement to comply with, all provisions contained herein. If you do not agree with any portion of these Terms, you are expressly prohibited from using the Service.
1. INTRODUCTION AND ACCEPTANCE OF TERMS
This agreement establishes the legally binding terms and conditions governing your use of the Skynius website, skynius.com, and any associated services (collectively, the "Service"). By accessing or utilizing any part of the Service, you signify your unequivocal acceptance of, and agreement to comply with, all provisions contained herein. If you do not agree with any portion of these Terms, you are expressly prohibited from using the Service. These Terms become effective upon your initial access to the Service.
2. LICENSE TO USE THE SERVICE
Skynius grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms for your personal or internal business purposes. This license does not include any right to:
2.1. Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Service. 2.2. Use any data mining, robots, or similar data gathering or extraction methods. 2.3. Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written consent from Skynius. 2.4. Create derivative works from or publicly display, perform, or distribute any content from the Service.
3. USER OBLIGATIONS AND PROHIBITED CONDUCT
Your access to and use of the Service is conditioned upon your adherence to the following stipulations:
3.1. Acceptable Use. You agree to use the Service solely for lawful purposes and in a manner that does not infringe upon the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited activities include, but are not limited to: 3.1.1. Engaging in any activity that is fraudulent, misleading, or deceptive. 3.1.2. Interfering with or disrupting the integrity or performance of the Service or data contained therein. 3.2. Account Security. If the Service requires you to create an account, you are solely responsible for maintaining the confidentiality of your account credentials (e.g., username and password). You agree to notify Skynius immediately of any unauthorized use of your account. Skynius shall not be liable for any loss or damage arising from your failure to comply with this section.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. Skynius Intellectual Property. All content, features, and functionality of the Service, including but not limited to text, graphics, logos, images, software, and their selection and arrangement, are the exclusive property of Skynius, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. No right, title, or interest in or to the Service or any content on the Service is transferred to you. 4.2. User Content. Any content you upload, publish, or display on or through the Service, including data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, authorship, applications, links, and other content or items (collectively, "User Content") remains your property. By submitting User Content, you grant Skynius a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Skynius's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.
5. DISCLAIMERS AND LIMITATION OF LIABILITY
5.1. No Warranties. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SKYNIUS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SKYNIUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 5.2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYNIUS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
6. TERMINATION
Skynius reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. This includes, but is not limited to, situations where you breach these
